1. About these terms

Strange Attractor FZ-LLC, a company registered in the Ras Al Khaimah Economic Zone (RAKEZ), United Arab Emirates, licence number 47033852 ("we", "us"), provides Subagency (the website, our Mac app and any future apps, the agency software and our online service). These terms are the agreement between you and us for Subagency.

By creating an account, installing the software or using the website you accept these terms. If you use Subagency for a company or other organisation, you confirm that you can bind it, and "you" includes it. If you do not accept the terms, do not use Subagency.

2. Who can use subagency

Subagency is not directed at children, and we do not knowingly allow anyone under 18 to create an account. You must be 18 or older and able to enter a binding contract. You must not be barred from using the service under sanctions or export laws that apply to us or to you. You must not use Subagency from, for or on behalf of anyone subject to sanctions, or to get around sanctions or export rules.

3. Your account

Give us accurate details and keep them up to date. Keep your sign-in secure. Use a strong password and two-step sign-in where available, and remove access for people who no longer need it. You are responsible for what happens on your account and on the devices linked to it. Tell us at once if you think someone has used your account without your permission. One account is for one person, unless your plan says otherwise.

4. Licence to the software

We give you a limited, non-exclusive, non-transferable licence to install and use the software for the number of installations your plan allows. It is for your own use or, if you are a business, your own internal use. You must not:

5. Your own AI provider account

Your bots use the AI provider you connect, under your own account and agreement with that provider (today, Anthropic). You must have the right to use that account in this way, and you must follow the provider's terms, including its usage rules and any rules on automated use, sign-in use and sharing. We do not sell, resell or control access to AI models. If a provider has an outage, changes its prices, or changes its terms, that is outside our control.

6. How bots work, and your responsibility

Bots are AI. They can be wrong, misread an instruction, or do something you did not intend. You decide what your bots can connect to and do.

Where the feature supports it, Subagency asks you to confirm before selected actions. Confirmation is not available for every action and cannot catch every mistake or risk. Keep it switched on for anything sensitive: messages, payments, publishing, deleting and access to confidential data. Approving an action is your decision and your responsibility.

Subagency does not give legal, medical, financial, tax or other professional advice. Check important outputs before relying on them.

You confirm that you have the rights needed to give your bots the content and data you connect them to. Do not connect a bot to data you have no right to use. Respect the privacy rights of the people whose data your bots handle, such as the contacts in your email.

8. Your data and content

You own your content and your bots' data. You give us only the permission we need to run the service, for example to store your backups or send emails you ask for. We do not claim any other rights over your content. As between you and us, you own the outputs made for you, subject to your AI provider's terms and third-party rights. Our privacy policy explains how we handle personal data.

9. Backups, restore and data loss

Backups are optional and encrypted. They help, but they do not guarantee that you can recover your data. We look after the key that protects your backups, as the privacy policy explains. Keep your own copies of anything important. Restoring a backup can overwrite your current data, and you may need to reconnect services you had linked. Data can also be lost through your computer, your provider or your own actions. We are not responsible for loss you could reasonably have avoided by keeping your own copies. We are always responsible for loss caused by our own failure.

10. Remote access, suspension and locks

Some features, such as remote access, depend on your plan and on our online service. If a payment fails or your plan changes, we may lock your account. Before we lock an account for non-payment, we warn you by email and in the app, and we lock it 3 days later. We lock an account at once only for abuse, a security risk, or where the law requires it. We may also limit or suspend some or all of Subagency if you breach these terms.

When an account is locked, the paid online features stop: the secure link, cloud backups and updates. Your data on your computer stays yours. You can still contact support and see your billing.

11. Plans, fees and billing

The price applies as shown at checkout. Fees are shown with any taxes that apply. Paid plans renew until you cancel. We show the renewal date and amount in your account.

A price change applies only from your next renewal. We will email you in advance, and you may cancel before it applies.

Cancelling takes effect at the end of the paid period. We do not give a pro-rata refund, except where the law requires one or we say so at checkout. If you are a consumer, you keep any refund or cancellation rights that the law gives you and that we cannot exclude.

Once paid plans start, our payment provider, Paddle, takes payment for us as merchant of record, and its terms also apply to the payment.

12. Beta and early-access features

Features we label beta or early access may change, break or disappear. They come with no service commitments, and we may withdraw them. If you give us feedback, we may use it freely, and we do not name you publicly without your permission.

13. Availability and changes to the service

We do not promise that Subagency will always be available or free of errors. We may do maintenance, and outages can happen. We may change, add or remove features, providers and plans. If a change materially harms paying customers, we will tell you in advance. If we discontinue Subagency, we will give reasonable notice and a pro-rata refund of prepaid fees.

14. Support

Email [email protected]. We will do our best to reply promptly. Support does not cover your computer, your network or your AI provider. To report a security issue, email [email protected] with "security" in the subject.

15. Third-party services

Connectors, AI providers, payment providers and linked services have their own terms. We are not responsible for them.

16. Intellectual property

We own Subagency, including its names and logos. Third-party and open-source parts of the software are under their own licences, which apply to those parts.

17. Disclaimers

To the extent the law allows, Subagency is provided "as is" and "as available". We make no promise about accuracy, fitness for a purpose or results. Nothing in these terms excludes anything that the law does not allow us to exclude.

18. Limit of our liability

The most we will pay for all claims related to Subagency is the amount you have paid us, up to a maximum of 12 months of fees.

To the extent the law allows, we are not liable for indirect or consequential loss or lost profit. We are not responsible for the results of an action you approved or set up, unless we carried it out wrongly, insecurely, or in breach of these terms. We are not liable for loss you could reasonably have avoided by keeping your own copies. This never applies to loss caused by our own failure.

This does not limit our liability for fraud, wilful misconduct, gross negligence, death or personal injury, or any liability that the law does not allow us to limit or exclude.

19. What you cover

This section applies to business customers only. Consumers give no indemnity.

If you are a business, you will cover us against a third-party claim, only to the extent it comes from your unlawful use of Subagency, your breach of these terms, or your content. We will tell you promptly about the claim and let you control the defence. We will not settle in a way that admits your liability without your consent.

20. Suspension and ending your use

You may stop using Subagency at any time, by cancelling your plan and removing the software from your computer. We may suspend or end your access for a breach of these terms, for non-payment, or where the law requires it. We will give you notice where we practically can. When your access ends, your right to use the software ends. Sections that by their nature should continue, such as those on liability and disputes, continue. After your account is closed, we delete your backups after 30 days and your account records after 12 months, as the privacy policy says. We may keep data for longer only where the law, tax or accounting rules, or an open dispute require it. You can ask us to delete data sooner. You can export or download your data before you close your account. Your bots' data stays on your own computer.

21. Changes to these terms

We may change these terms. We will post the new version here with a new date. We will email important changes to account holders, with the date they apply. If a change materially disadvantages you, you may cancel before it applies. Urgent security or legal changes may apply at once, and we will give notice as soon as we can. If you keep using Subagency after a change applies, you accept it.

22. Governing law and disputes

The laws of the United Arab Emirates govern these terms, and the courts of Ras Al Khaimah, United Arab Emirates, have jurisdiction. There is no arbitration and no class waiver. This is subject to any mandatory consumer rights that the law of your own country gives you and that cannot be excluded. If there is a dispute, please email us first so that we can try to settle it informally.

23. General

These terms and our privacy policy are the whole agreement between you and us about Subagency. If a part of these terms is unenforceable, the rest still applies. If we do not enforce a right, we have not given it up. You may not transfer your rights under these terms without our consent. We may transfer ours as part of a sale of our business. We are not liable for delay or failure caused by events beyond our reasonable control. We will send notices to the email address on your account. Nothing in these terms creates a partnership, employment or agency relationship between you and us. The English version of these terms prevails over any translation.
